What Exactly is a Company?

The Main Types of Companies for New Businesses

When you start, you will mostly hear about two types of companies:

1. Private Limited Company (Pvt. Ltd.): This is the most popular choice for small and medium businesses. You can start with just one shareholder and one director . It is perfect for family businesses or friends starting a venture together. The liability is limited, meaning your personal property (like your home) is safe if the business incurs debt .

2. Public Limited Company: These are bigger companies meant to raise money from the general public. To start one, you need at least 7 shareholders and a minimum capital of NPR10 million. This is for larger ambitions, like banks or big hotels .

The Registration Process in a Nutshell

Thanks to the government"s digital systems, registering your company is faster than ever. Here is the roadmap you will follow with the Office of the Company Registrar (OCR) :

• Step 1: Reserve Your Company Name: First, go to the OCR website and suggest a unique name for your company. It must not match any existing company. Create a camis user id , apply and  gets approved in 1-2 days .

• Step 2: Prepare Your Documents: This is the most important part. You will need:

  • Memorandum of Association (MOA): The "birth certificate" of your company. It states your company's name, address, and what business you will do (objectives).

  • Articles of Association (AOA): The "rule book" for your company. It outlines how directors are appointed, how meetings are held, and how shares are managed.

• Step 3: Submit and Pay: You submit these documents online along with digital copies of the shareholders' citizenship certificates and a photo. You pay a government fee which depends on your capital. For example, if your capital is up to NPR100,000, the fee is NPR 1,000 .

• Step 4: Get Your Certificate: Once the OCR verifies your documents, they will issue a Certificate of Incorporation. This is your official "birth certificate." You are now a legal company!

What Happens After Registration?

Getting the company certificate isn't the end. You have a few more important tasks to become fully operational:

1. PAN and VAT Registration: You must visit the Inland Revenue Department (IRD) or use their portal to get a Permanent Account Number (PAN) for tax purposes. If your annual turnover is expected to be over NPR 5 million, you also need to register for VAT .

2. Open a Business Bank Account: Take your company certificate and PAN to a bank to open a current account in your company's name.
